Terms and Conditions of Use

These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the Sodapp platform (hereinafter, the "Service"), accessible through the website and/or application, owned by Jorge Horacio Fernandez, CUIT 20-36213031-0, domiciled at O'Higgins 1179, Argentine Republic (hereinafter, "Sodapp" or the "Company").
Use of the Service implies full and unreserved acceptance of these Terms.
1. Definitions
- User: any natural or legal person who accesses or uses the Service.
- Account: profile created by the User to access the Service.
- Service: set of features offered by Sodapp in digital form.
- Content: all information, data or materials uploaded by the User.
2. Acceptance and legal capacity
The User declares:
- To have the legal capacity to contract.
- That the information provided is truthful.
- That they have read and understood these Terms.
When acting on behalf of a legal entity, the User declares to have sufficient authority.
3. Description of the Service
Sodapp offers a digital delivery management platform that allows distribution businesses to receive orders via WhatsApp using artificial intelligence, organize delivery routes, and manage customers and drivers through an admin panel and a mobile app.
The Company reserves the right to modify, update or discontinue the Service in whole or in part, without this giving rise to any right to compensation.
3.1. Operating modes
The Service is provided in two operating modes, which the User selects when setting up their account: "With delivery" mode, enabling driver management, dispatch, route optimization and the mobile app; and "Orders only" mode, enabling solely the receipt and manual handling of orders, without logistics features.
The operating mode is independent of the contracted plan: any plan may operate in either mode without any change to its price. Changing the operating mode after initial setup must be requested from Sodapp, which will carry it out provided no logistics operations are in progress.
4. Registration and account
To use certain features, the User must register and create an Account.
The User is responsible for:
- Keeping their credentials confidential.
- All activity carried out from their Account.
Sodapp will not be liable for the misuse of the Account by third parties.
5. Permitted use and prohibitions
The User agrees to:
- Use the Service in accordance with the law, morality and public order.
- Not use it for illegal, fraudulent or abusive purposes.
It is prohibited to:
- Upload illegal, offensive content or content that infringes third-party rights.
- Interfere with or attempt to access Sodapp systems without authorization.
- Reproduce or commercially exploit the Service without express authorization.
6. Plans, pricing and payments
- Some features may be subject to payment of a fee.
- Prices are stated in legal tender.
- Sodapp may modify prices by notifying the User in advance.
- Payments are non-refundable, except as required by law.
6.1. Adjustment for third-party rate changes
Plan prices reflect the messaging costs of the WhatsApp Business platform (Meta Platforms, Inc.) and its authorized provider, as in effect on the contracting date. Those costs are set by their owners and are outside Sodapp's control. Should they increase, Sodapp may pass the excess through to the price of the contracted plan, in the corresponding proportion and without applying any additional margin on that difference.
Any adjustment on these grounds will be notified to the User at least thirty (30) calendar days in advance, stating the previous rate, the new rate and its impact on the plan. The User may terminate the service without any penalty within fifteen (15) calendar days of receiving such notice.
Should those costs be reduced by their owners, the reduction will be passed through to the plan price in the same proportion, starting with the following billing cycle.
6.2. Fair use of messaging
Plans include the number of orders stated for each one. The WhatsApp conversation required to take those orders is included in the plan, within a fair use of eight (8) messages sent per order, averaged over the calendar month.
That average is generous: an order taken through Sodapp's WhatsApp assistant typically uses two to three messages. Messages caused by Service failures do not count toward this limit, nor do orders entered from the admin panel or the mobile app, which use no messaging at all.
Should an account exceed that average, Sodapp will inform the User and work with them to identify the cause. If the excess continues for two (2) consecutive billing cycles, Sodapp may bill the excess messages at the current cost as notified, itemized on the invoice.
7. Intellectual property
All intellectual property rights in the Service belong to Sodapp or its licensors.
The User retains ownership of the Content they upload, but grants Sodapp a non-exclusive, royalty-free license necessary to provide the Service.
8. Personal data protection
Sodapp collects and processes personal data in accordance with Law 25.326.
Use of the Service implies acceptance of the Privacy Policy, available on the website, which forms an integral part of these Terms.
The User may exercise their rights of access, rectification and deletion in accordance with applicable regulations.
9. Availability and liability
Sodapp does not guarantee that the Service will operate uninterrupted or error-free.
In no event will Sodapp be liable for:
- Indirect damages, loss of profit or loss of data.
- Failures arising from causes beyond its control.
Nothing herein limits the consumer's non-waivable rights.
10. Consumer protection
If the User qualifies as a consumer, the provisions of Law 24.240 apply, prevailing over any clause to the contrary.
11. Changes to the Terms
Sodapp may modify these Terms at any time.
Changes will be published on the site indicating the update date.
Continued use of the Service will imply acceptance of the changes.
12. Termination
Sodapp may suspend or cancel the User's Account in the event of breaches of these Terms or misuse of the Service.
The User may cancel their Account at any time.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Argentine Republic.
The parties submit to the jurisdiction of the ordinary courts of the Province of Chubut, waiving any other venue or jurisdiction, except for mandatory consumer-protection regulations.
